CONSTITUTION AND BY-LAWS
NEW YORK STATE JUNIOR HOLSTEIN ASSOCIATION
As amended January, 2024
ARTICLE I - NAME
The name of this Association shall be the New York State Junior Holstein Association.
ARTICLE II - LOCATION
Section 1. The location of the Association shall be New York State.
ARTICLE III - OBJECTIVES
Section 1. The purpose of this Association shall be:
First To promote greater interest among young people in registered Holstein cattle.
Second To conduct activities and educational programs designed to offer Junior members
increased opportunities for personal and financial success.
Third To promote and support the growth of local Junior clubs, and to become, in
conjunction with local clubs, an integral part of the New York Holstein
Association. It shall be the further purpose of this Association to work with the
Junior Advisory Committee of our State Association to set up and to carry out
Junior activities.
Fourth To encourage each member to participate in showing and judging at all levels
with the purpose of promoting the quality of the Holstein breed.
ARTICLE IV - MEMBERSHIP
Section 1. Any boy or girl under 21 years of age as of January 1 of the current year, who is
interested in Holstein cattle, may join the Association and will be considered a
bonafide member of the State Association upon payment of membership dues.
Section 2. The Executive Committee shall have the power to bestow honorary membership
upon any person who, in its opinion, deserves such recognition.
ARTICLE V - DUES
Section 1. All finances, including collection of dues, shall be handled by the New York
Holstein Association, Inc.
ARTICLE VI - MEETINGS OF MEMBERS
Section 1. The fiscal year of the Association shall be January 1 to December 31
Section 2. There shall be a regular Annual Meeting of the Association at such place and
date as determined by the Executive Committee.
Section 3. Special meetings of the membership during the year may be called if deemed
advisable by the Executive Committee. In such cases, notice must be given by
the Secretary at least seven (7) days prior to the meeting.
Section 4. Voting rights are limited to one vote by each member attending a membership
meeting.
Section 5. Three (3) percent of the previous year's membership shall constitute a quorum
for the transaction of business at any meeting.
ARTICLE VII - OFFICERS, EXECUTIVE COMMITTEE AND BOARD OF DIRECTORS
Section 1. The officers of the Association, who shall be called the Executive Committee,
shall consist of a President, Vice President, Recording Secretary, Financial Secretary, and chairpersons of the standing committees: Awards, Showmanship and Judging, Activities, State Convention, Promotion, Education, Dairy Bowl, and Dairy Jeopardy The Distinguished Holstein Junior Members shall also be members of the Executive Committee.
Section 2. Eligibility - Any member in good standing shall be eligible for election to the
Executive Committee.
Section 3. The elected members of the Executive Committee shall be elected at the Annual
Meeting by a majority vote. In case a majority is not achieved on the first ballot,
then a second ballot will be held between the two candidates who received the
most votes. The term of office of the Association shall be from Annual Meeting to
Annual Meeting.
Section 4. The Executive Committee will meet and work in conjunction with the New York
Holstein Association and its Junior Advisory Committee. Meetings of the Junior
The Holstein Executive Committee will be at the discretion of the President.
Section 4a. The Reorganizational Meeting shall be the first meeting after the Annual Meeting.
At the reorganizational meeting, only the previous and the present year's
Executive Committee members shall be eligible to vote on old business.
Section 5. Each of the standing committees shall hold at least one (1) meeting
annually. The committees will be composed of any volunteers from the
membership and State Directors appointed by the President.
Section 6. Any person may sit in on an Executive Committee meeting if he/she received the
approval of the Executive Committee before the meeting.
Section 7. Any member of the Association can be elected to the Executive Committee for
unlimited term lengths. Elected members may hold the same position on the
Executive Committee two (2) years in a row, then there must be at least one (1) year break from the same position. A Distinguished Junior Member, by fact of having won the award, will sit on the Executive Committee for one (1) year.
ARTICLE VIII - DUTIES OF OFFICERS
Section 1. The President will oversee the activities of the Junior Association and chair all
meetings.
Section 2. In the absence of the President, the Vice President shall preside over the Executive Committee meeting. The Financial Secretary will preside in the absence of the President and Vice President
Section 3. The Recording Secretary shall keep full and accurate minutes of all acts and
proceedings of the meetings and conduct all correspondences. Theyshall take care of the records and property belonging to the Association. They shall use the New York Holstein News as official notification media to the membership.
Section 4. The Executive Committee shall have general supervision and control of the
business and affairs of the Association. The Executive Committee has the
authority to act on a matter in need of a decision before the next meeting.
Section 5. A majority of the Executive Committee shall be necessary to constitute a quorum
for the transaction of business at all Executive Committee meetings.
Section 6. In the event a member of the Executive Committee cannot fulfill or is not fulfilling
his duties or term of office, the Executive Committee may appoint a new officer to
complete the unfinished term.
Section 7. Financial Secretary duties are to work with the Executive Manager on financial transactions.
Section 8. If an Executive Committee member misses a meeting, a report must be
submitted. In the case of a known absence, the Executive Committee must be
notified before the meeting. After the second absence, it will be the discretion of
the Committee whether to accept the written report in the absence of the
committee chairman, or to declare the chairmanship vacant and proceed to
appoint a replacement by a majority vote of the Executive Committee.
ARTICLE IX
Section 1. The official rules shall be Robert's Rules of Order.
ARTICLE X
Section 1. This constitution and By-Laws may be amended at any Annual Meeting by two-
thirds vote of the members present, provided due notice of such amendments
has been given in the Call for such meeting, together with a copy of the proposed
amendment, and also providing such notice was mailed to the last known
residence of each member in good standing at least seven (7) days prior to the
date upon which the amendment is presented for action.
